| Formål: |
In recent years financial transactions have become more complex and internationally oriented and new sophisticated products have been introduced. As a result there has been a significant increase in the need for legal advice in connection with financial transactions.
The law is fragmentary and hence by many perceived as difficult to grasp. However, the law and practice rest upon fundamental principles of contract, property, security and insolvency law, and although their application may seem complicated, one of the aims of this course is to demonstrate the simplicity of the underlying concepts.
The course further aims at giving the students a thorough introduction to the legal structures and often complex legal issues arising in connection with some of the more important international financial transactions that they are likely to encounter in practice. This will include discussions on the legal problems arising in connection with the structuring of a financial transaction, the drafting of the relevant agreements and all the way through to the completion of the transaction.
Throughout the course the students will become familiar with the structure and contents of international loan agreements (based on, inter alia, London Market Association standards). Further, the students will get acquainted with different types of security and the position of secured and unsecured creditors in an insolvency scenario.
The orientation of the course is practical and is designed for students who wish to become practitioners whether as attorneys in internationally oriented law firms or as legal counsel in banks or large corporations. It is not necessary to have prior knowledge of Danish or financial law to take the course.
Finally, as financial law transactions often contain a cross-border element, the course will also be of particular interest to Danish and foreign students at Copenhagen University who consider an international career.

| Kompetence- beskrivelse: |
The objective of the course is to enable the students to:
- Explain the process and basic mechanisms of typical international financial transactions and the roles of the participant including legal advisers.
- Analyse the motivation and considerations involved when structuring and documenting a financial transaction.
- Identify and analyse complex legal issues related to international financial transactions and to critically reflect upon possible solutions.
- Explain the use and characteristics of credit facilities, derivates and legal opinions and analyse material provisions in the relevant agreements governing financial transactions.
- Explain the general principles of private international law and identify and analyse basic private international law problems.
- Communicate and formulate her/his knowledge and arguments professionally in a way that is structured and coherent.
